By accessing nocdirect.net and engaging NOCdirect for services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services.
All managed NOC services are provided under a separate Master Service Agreement (MSA) and Statement of Work (SOW) executed between NOCdirect and the client. These Terms & Conditions govern general use of the website and shall supplement, not replace, the terms of any signed MSA. In the event of a conflict, the MSA shall prevail.
Service proposals and pricing quotations issued by NOCdirect are valid for 30 days from the date of issue unless otherwise stated. NOCdirect reserves the right to withdraw or revise any proposal prior to execution of a formal agreement.
Client is responsible for providing NOCdirect with accurate network documentation, read-only monitoring access, and relevant credentials required for service delivery. NOCdirect shall not be liable for service deficiencies resulting from incomplete or inaccurate information provided by the client.
NOCdirect treats all client network data, configurations, and business information as strictly confidential. Our engineers operate under binding NDAs and adhere to role-based access controls. Client data is never shared with third parties outside of contracted service delivery obligations.
SLA commitments including response times, uptime guarantees, and escalation procedures are defined in the client's individual Statement of Work. In the event of SLA breach attributable to NOCdirect, remedies are limited to service credits as defined in the applicable SOW.
All content on nocdirect.net — including text, graphics, logos, dashboards, and proprietary processes — is the property of NOCdirect and protected by U.S. and international intellectual property law. Reproduction without written permission is prohibited. Client-owned network data and configurations remain the exclusive property of the client.
NOCdirect's total liability for any claim arising out of or relating to services or this website shall not exceed the fees paid by the client in the three months preceding the claim. NOCdirect shall not be liable for indirect, incidental, consequential, or punitive damages of any kind.
Client agrees to indemnify and hold harmless NOCdirect, its officers, employees, and agents from any claims, damages, or expenses arising from client's misuse of services, inaccurate information provided, or breach of these Terms.
Either party may terminate services in accordance with the terms of the applicable MSA. Upon termination, NOCdirect will securely return or destroy client data per the data handling procedures outlined in the MSA.
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Dallas County, Texas.
